Financial statements and directors appointments approved for 슬롯, Humedix, and HuM&C
[by Yu, Suin] 슬롯 Group announced on the 26th that it held general shareholders' meetings and board meetings for its KOSDAQ-listed affiliates — 슬롯, Humedix, and HuM&C — at the 슬롯Global headquarters in Pangyo, Seongnam.
All agenda 슬롯 of the three companies’ general shareholders’ meetings were approved as originally proposed.
슬롯, the largest company of 슬롯 Group by revenue, approved all items on the agenda today as originally proposed, including △approval of financial statements of the 9th term and cash dividends (330 Korean won per share) △ amendment to the Articles of Incorporation △ approval of the split-merger △ reduction of capital reserves △ appointment of directors and audit committee members (Song Soo-young, Yoon In-sang, and Park Kyung-mi as inside directors; Yoon Sung-tae as another non-executive director; Lee Moon-sung as an outside director and an audit committee member; and outside director Park Yong-gon as an audit committee member), and △ approval of the director remuneration limit.
Humedix and HuM&C also approved all 슬롯 on the agenda, including the appointment of inside and outside directors.
Humedix approved agenda 슬롯 including △ approval of financial statements of the 22nd term and cash dividends (330 Korean won per share) △ amendment to the Articles of Incorporation △ appointment of directors and audit committee members (Kang Min-jong and Yoon Yeon-sang as inside directors, Lee Ki-jeong as an outside director, outside director Park Sung-ho as an audit committee member, and Lee Ki-jeong as an audit committee member) △ approval of the director remuneration limit.
HuM&C approved agenda 슬롯 including △ approval of financial statements of the 23rd term △ appointment of directors and an auditor (Kim Jun-cheol, Joung Jae-hwan, and Kim Hong-bae as inside directors; Yoon Sung-tae as another non-executive director; Noh Hong-in and Kim Woo-sung as outside directors; and Kim Oh-soon as an auditor) △ approval of director and auditor remuneration limits.
슬롯’ CEO Song Soo-young was reappointed at the shareholders’ meeting on the 26th. With his many years of experience as a CEO of a global consulting firm, Song has been strengthening management and leading innovation as a CEO of 슬롯 Global and 슬롯 for the past three years. Accordingly, Song was reappointed as an inside director, as he was determined to be the right fit to manage 슬롯 in the future.
At the general shareholders’ meeting, CEO Song presented a vision for the future including △ operation of a new injectable product line at the Jecheon 2nd Plant in the second half of this year △ export expansion of injectable 슬롯 such as anesthetics △ strengthening biopharmaceutical business capabilities △ fostering R&D and innovation.
The major affiliates of 슬롯 Group showed solid performance through company-wide efforts despite the difficult business environment last year. Based on consolidated financial statements, 슬롯 recorded sales of 590.2 billion Korean won and operating profit of 39.7 billion Korean won, up 6.9% and -29.1% year-on-year, respectively. Based on individual financial statements, Humedix recorded sales of 161.9 billion Korean won and operating profit of 43.1 billion Korean won, up 6.3% and 15.6% year-on-year, respectively. Based on consolidated financial statements, HuM&C recorded sales of 47.2 billion Korean won and operating profit of 4.9 billion Korean won, -2.5% and 2.2% year-on-year, respectively.
The 슬롯 Group also continues to look for ways to increase the shareholder value. In 2023, 슬롯 and Humedix along with 슬롯 Global have announced mid and long-term dividend policy. The companies are currently implementing plans to increase dividends per share by a minimum of 0% and a maximum of 30% compared to the dividends of the previous fiscal year over a three-year period (2023-2025) as well as a twice-a-year dividend plan of interim dividend and year-end dividend.
